Made-in-China.com is an E-business platform developed and operated by Focus Technology Co., Ltd. Applying for the service of Audited Suppliers, please refer to the agreement below firstly:

I. The Content of Service:

1. Audited Suppliers is a service provided by Made-in-China.com to its Users. Standard company audit is the basis and key issue of the service.
2. The audit standard covers the aspects of User's authenticity, P & T ability, R & D ability, quality control system, product qualification, development plan, certificates, scene, and so on.
3. Audit is classified into initial audit, follow-up audit and re-audit.
1. Initial audit refers to the audit of User for the first time.
2. Follow-up audit is normally based on initial audit, and focuses on the problems about User which were pointed out in the last audit report.
3. Re-audit is the annual reexamination of User, to keep the content of Audit Reports instant.
4. After receiving the service application and self-assessment submitted by User, Made-in-China.com will sign the service contract with the applicant. With the consignation of Made-in-China.com, SGS, as the impartial third party, carries out the on-site audit independently, and produces a complete Audit Report within 5 workdays.
5. Made-in-China.com will upload Audit Reports of Premium Members of Made-in-China.com, to their Showrooms, and symbolize their showrooms with the distinctive symbol of .
6. Premium Member who agree to display Audit Reports in their Showrooms, authorize and acknowledge that Made-in-China.com has the right to permit other Users to download or view the Audit Reports of Premium Member on the fee-based.
7. Except Premium Member, other Users, who applied for the service of Audited Suppliers, cannot enjoy the distinctive symbol and the display function of their Audit Reports in Made-in-China.com.

II. Acceptance:

1. To apply for the service, Users shall accept and obey Privacy Policy and Terms & Conditions firstly. Premium Member shall accept and obey Terms of Premium Member additionally.
2. Introduction to Audited Suppliers and any other information related to the service of Audited Suppliers are effective parts of this agreement.
3. This agreement will be modified when necessary, and new version will be published on Made-in-China.com immediately. If Users refuse to accept the new agreement, please stop using the service of Audited Suppliers, otherwise, Users will be considered as having accepted the new agreement.

III. Process of the Service:

1. Users submit the service application to Made-in-China.com and make pre-audit self-assessment.
2. Users pay the service fee, and Made-in-China.com confirms the receipt of application.
3. With the consignation of Made-in-China.com, SGS carries out the on-site audit at the appointed time independently. The whole process (including the journey) will last 1 working day. Users have to pay the additional fees before the production of Audit Reports for the exceeding workload due to the distance or any other reason.
4. A complete Audit Report is produced within 5 workdays and sent to Made-in-China.com and Users by SGS. The report has the exclusive SGS number for the on-line verification.
5. Made-in-China.com uploads the complete Audit Reports of Premium Member , to their Showrooms, and symbolizes their showrooms with .
6. Upon the written request of Premium Member, Made-in-China.com will cancel the display, or only upload parts of Audit Reports in their Showrooms.

IV. Fees:

1. Audited Suppliers is a fee-based service. For the details of fees and payment methods, please Contact Us .
2. Users can only enjoy the service after paying the fees.
3. Made-in-China.com has the right to alter the fees and payment methods unilaterally. The alteration will not affect the application which has been paid for by Users and confirmed by Made-in-China.com.
4. If Users want to suspend or terminate the service, Made-in-China.com will not refund the fees. However, the whole or parts of Audit Reports in Showrooms of Premium Member can be cancelled upon the written request.

V. The Period of Validity of Audit Reports:

1. The Period of Validity of Audit Reports is 1 year from the date the audit is carried out.
2. Premium Member can enjoy the display function of Audit Reports in their Showrooms, and their Showrooms will be symbolized with .
3. During the Period of Validity of Audit Reports, if user's service of Premium Member expires, Audit Reports, as well as the symbol of can still be displayed in Showroom, but without being displayed in the searching result.
4. If user's Premium Member Service hasn't expired, but the period of validity of Audit Reports comes to an end, the service of Audited Suppliers will expire accordingly. However Made-in-China.com will not cancel the display of Audit Reports and , but with an expired remark in Premium Members' Showrooms.

VI. Other Audit Services:

1. Before the expiration of the service of Audited Suppliers, Users can apply for Re-Audit service according to the latest Terms of Service and Introduction to Audited Suppliers.
2. During the period of validity of Audited Suppliers, Users can apply for Follow-Up Audit service if necessary. For details, please Contact Us .

VII. Responsibilities of Users:

1. Users, who are going to apply for the service of Audited Suppliers, have to agree to obey SGS General Conditions of Services. The audit service is carried out on the basis of information, documents, and/or samples provided by Users. Made-in-China.com shall not be liable for any incorrect results arising from those unclear, erroneous, incomplete, misleading or false materials provided by Users. Users agree to indemnify and hold Made-in-China.com, its officers, directors, owners, agents, employees and so on, harmless from any claim or demand, made by any third party, due to or in connection with Users' behavior regarding to the service of Audited Suppliers.
2. Users are forbidden to make any modification to Audit Reports, and agree to take the whole responsibility in the case of such behavior. Users agree to indemnify and hold Made-in-China.com, its officers, directors, owners, agents, employees and so on, harmless from any damage, including but not limited to attorney fee, arising out of or in connection with the misuse of Audit Reports by Users.

VIII. Rights and Responsibilities of Made-in-China.com:

1. On-site audit service of Audited Suppliers is completed independently by an impartial third party. Made-in-China.com does not bear any responsibility for the untruth, inaccurateness, incomprehensiveness, and ineffectivity of Audit Reports . Made-in-China.com does not make any guarantee or undertaking for its users' trade behavior.
2. We shall take no responsibility for the interruption and malfunctions caused by force majeure (including, but not limited to natural disaster, social incidents, any network abnormity and even temporal shut-down resulting from hacker attack, technology update of Telecom, governmental control and any other factors affecting the attributes of a website), but we will endeavor to solve all the problems as soon as possible.

IX. Suspension or Termination of the Service:

Made-in-China.com has the right to decide whether to suspend or terminate part or all of the Audited Suppliers service under the following conditions:

1. Users violate any substantial provision of Terms & Conditions , Terms of Premium Member or Terms of Audit Service.
2. Users want to suspend or terminate the whole or parts of the service by providing the written request.
3. Premium Member become into free members of Made-in-China.com due to the expiration of Premium Membership during the period of validity of Audited Suppliers.
4. The expiration of Audit Reports.
5. Any other condition that may suspend or terminate the service of Audited Suppliers.

X. Dispute Settlement:

For any dispute or claim arising out of or in connection with this agreement, Users and Made-in-China.com shall endeavor to resolve the dispute. If settlement can not be reached between two parties, the Courts in the principal place of Made-in-China.com have the jurisdiction to the dispute.
