Made-in-China.com is an E-business platform developed and operated by Focus Technology Co. Ltd. When applying to become an Audited Supplier member, please first refer the terms of service agreement below.

I. The Scope of Service:

1. Audited Suppliers is a service provided by Made-in-China.com to its Users. A standard company audit is the basis and key issue of this service.
2. The audit standard covers the aspects of the User's general information, foreign trade capability, research and development capability, quality management system and product certification, production capacity & quality control, financial position, working environment & energy saving, and photos of other key areas of the User's business.
3. The audit is classified into 3 parts; initial audit, follow-up audit, and re-audit.
   1. The Initial audit refers to the first audit of the User.
   2. The second audit is a follow up to the initial audit, and focuses mainly on any problems or recommendations about the User which were discovered in the initial audit and reported in the initial audit report.
   3. Re-audit is an annual reexamination to ensure that the User is maintaining high standards. A new and updated audit report is issued after each re-audit.
4. After receiving the service application and self assessment submitted by the User, Made-in-China.com will sign a service agreement with the applicant. With the consignation of Made-in-China.com, SGS, an impartial third party, will carry out and conduct the onsite audit independently, and produce a complete and validated Audit Report within 5 working days.
5. Made-in-China.com will upload completed audit reports of Premium Member Audited Suppliers to their Showrooms, and also display the distinctive Audited Supplier symbol .
6. Premium Member Audited Suppliers who agree to display audit reports in their Showrooms, authorize and acknowledge that Made-in-China.com has the right to permit other Users to download or view those reports on a fee based condition.
7. Only Premium Members who apply for the Audited Suppliers service will be awarded an Audited Supplier symbol and be able to display their audit reports on Made-in-China.com.

II. Acceptance:

1. To apply for the service, Users shall accept and obey Privacy Policy and Terms & Conditions firstly. Premium Members shall accept and obey Terms of Premium Member additionally.
2. The Introduction to Audited Suppliers and any other information related to the service of Audited Suppliers are effective parts of this agreement.
3. This agreement can and will be modified by Made-in-China.com when and where deemed necessary, with the new versions being published on Made-in-China.com. It is the User's own responsibility to make sure they are aware of the newest versions of this agreement. Users may cancel their Audited Suppliers service if they do not agree with new agreement versions, but if Users continue to use the Audited Suppliers service, will be considered to have accepted the new agreements and will be bound by the terms and conditions as set forth in them.

III. Service Process:

1. Users submit a service application to Made-in-China.com and make a pre-audit self-evaluation and assessment.
2. Users pay the service fee and Made-in-China.com confirms receipt of application.
3. With the consignation of Made-in-China.com, SGS independently carries out the on-site audit at an appointed time. The whole process (including travel time to and from the supplier's place of business) will last 1 working day. Users will be responsible for paying additional fees if the service process is delayed or extended due to distance or other reasons out of SGS's or Made-in-China.com's control.
4. SGS completes an audit report within 5 working days and sends copies of the report to Made-in-China.com and the audited User.
5. Made-in-China.com uploads the completed audit reports to Premium Member Audited Suppliers Showrooms, and displays an official Audited Supplier symbol on their page.
6. Upon the written request of a Premium Member, Made-in-China.com will cancel the Audited Supplier display in their showroom as per the User's request.

IV. Fees:

1. Audited Suppliers is a fee-based service. For the details of fees and payment methods, please Contact Us .
2. Users can only use and take advantage of this service after paying the required fees.
3. Made-in-China.com has the right to alter the fees and payment methods unilaterally. Changes to fees will not affect Users who have already paid for Audited Suppliers services and have had their payments confirmed by Made-in-China.com.
4. Made-in-China.com does not offer refunds for Users who wish to suspend or terminate their Audited Suppliers service. However, Premium Member Audited Suppliers may request in writing to remove their audit reports from their showroom at any time.

V. Audit Report Validity Period:

1. The audit report is valid for a period of 1 year from the date the audit was carried out.
2. Premium Members can choose to display their audit reports in their Showrooms. Premium Member Audited Suppliers will also be awarded an official Audited Supplier symbol to display in their Showroom.
3. If a Premium Member's service period expires during the audit report validity period, the audit report and Audited Suppliers symbol will continue to be displayed in the User's Showroom. However, the Audited Supplier symbol will no longer be displayed in company or product search results.
4. If the audit report validity period comes to an end but the User's Premium Membership is still in service, the Audited Supplier service will expire accordingly, and Made-in-China.com will not remove the audit report or Audited Supplier symbol ,from the User's Showroom, but will instead add an expired remark to indicate that the Audited Suppliers service has expired.

VI. Other Audit Services:

1. Before their Audited Suppliers service expires, Users can apply for a Re-Audit service according to the latest Terms of Service and Introduction to Audited Suppliers.
2. Within six months from the date of on-site audit, Users can apply for a Follow-Up Audit service if necessary. For more details, please Contact Us.

VII. User Responsibilities:

1. Users who wish to apply for the Audited Suppliers service must also agree to the SGS General Conditions of Services. The audit service is carried out on the basis of information, documents, and/or samples provided by Users. Made-in-China.com shall not be liable for any incorrect results arising from those unclear, erroneous, incomplete, misleading or false materials provided by Users. Users agree to indemnify and hold Made-in-China.com, its officers, directors, owners, agents, employees and so on, harmless from any claim or demand, made by any third party, due to or in connection with Users' behavior regarding to the service of Audited Suppliers.
2. Users are forbidden to make any modifications or changes to the audit reports, and agree to claim full responsibility in the case of such behavior. Users agree to indemnify and hold Made-in-China.com, its officers, directors, owners, agents, employees and so on, harmless from any claim or damage, including but not limited to attorney fees, arising out of or in connection with the misuse of audit reports by Users.

VIII. Rights and Responsibilities of Made-in-China.com:

1. On-site audit service of Audited Suppliers is completed independently by an impartial third party. Made-in-China.com does not bear any responsibility for the untruth, inaccurateness, incomprehensiveness, and ineffectivity of Audit Reports . Made-in-China.com does not make any guarantee or undertaking for its users' trade behavior.
2. We shall take no responsibility for the interruption and malfunctions caused by force majeure (including, but not limited to natural disaster, social incidents, any network abnormity and even temporal shut-down resulting from hacker attack, technology update of Telecom, governmental control and any other factors affecting the attributes of a website), but we will endeavor to solve all the problems as soon as possible.

IX. Suspension or Termination of the Service:

Made-in-China.com has the right to decide whether to suspend or terminate part or all of the Audited Suppliers service under the following conditions:

1. Users violate any substantial provision of Terms & Conditions , Terms of Premium Member or Terms of Audit Service.
2. Users wish to suspend or terminate whole or part of their service by written request.
3. A Premium Member is downgraded to a free member of Made-in-China.com due the expiration of its Premium Membership during the validity period of its Audited Supplier service.
4. The audit reports become expired and therefore invalid.
5. Any other condition that may suspend or terminate the service of Audited Suppliers.

X. Dispute Settlement:

For any dispute or claim arising out of or in connection with this agreement, Users and Made-in-China.com shall endeavor to resolve the dispute. If settlement can not be reached between two parties, the Courts in the principal place of Made-in-China.com have the jurisdiction to the dispute.
